You may use Accountify in accordance with the terms of the GNU General Public License, version 3.0, as described in the provided file gpl-3.0.txt. This license allows for free use, but also requires you to distribute your own Accountify-based code under the terms of the GPL. See gpl-3.0.txt for complete information. 2. COMMERCIAL OPTION. In exchange for payment as described below, you may use Accountify in a closed-source application, in accordance with the the terms of the Accountify Nonexclusive Commercial License. The Accountify Nonexclusive Commercial License also includes priority support, as described below. HOW TO PURCHASE AN ACCOUNTIFY NONEXCLUSIVE COMMERCIAL LICENSE The price of a nonexclusive commercial license is $200 (US) per year. To purchase the license: 1. We will return one signed copy of your license to you promptly. ACCOUNTIFY NONEXCLUSIVE COMMERCIAL LICENSE GRANT OF RIGHTS The licensee named below is granted the right to utilize Accountify, major version 2, any minor version thereof, in web site applications without the need for a credit notice of any kind and without any requirement to share modifications or web site source code created by the licensee. Accountify-derived code developed by the holder of this license may be distributed freely in source code or binary form without additional fees or royalties. This license does not grant the right to use Accountify to create a development tool which passes on substantially all of the capabilities of Accountify to the user of the tool, unless that tool is to be used entirely by the original license holder for the purpose of creating web sites. This license may not be resold, but applications developed in accordance with the terms of the license may be distributed freely subject to the limitations described above. UPGRADE TERMS Future minor (2.x) versions of Accountify will be covered by this license free of charge. If significant defects of workmanship are discovered in version 2.x, minor releases to correct them will be made available before or at the same time that those defects are addressed in any future major version. Future "major" (3.x) versions will be available to Accountify 2.0 licensees at an upgrade price of $50. WARRANTY Boutell.Com, Inc. has made reasonable checks with regard to the correctness and usefulness of Accountify. However, due to the inherently complex nature of computer software, there is no warranty for Accountify, to the extent permitted by applicable law. Except where otherwise stated in this document, Boutell.Com, Inc. provides Accountify "as is" without warranty of any kind, either expressed or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. The entire risk as to the quality and performance of Accountify lies with the licensee. LIMITATIONS This document constitutes the entire agreement between Boutell.Com, Inc. and the licensee and supersedes all previous agreements. Each party hereto shall be and act as an independent contractor and not as partner, joint venturer, or agent of the other. This agreement may be amended in any time by mutual agreement in writing. This agreement shall be governed by and construed in accordance with the laws of the State of Pennsylvania and jurisdiction and venue of all matters relating to this Agreement shall be vested exclusively in the federal and state courts within the City of Philadelphia wherever practicable. If any part of this agreement is found to be invalid, the remainder of the agreement remains in effect. PRIORITY SUPPORT The licensee will receive one year of priority support from Boutell.Com, Inc. via email and telephone. Priority support consists of prompt responses to queries regarding the proper use of Accountify. Priority support is a commitment to answer the well-researched questions of the Licensee and those designated by the Licensee with regard to the use of Accountify in web sites developed by the Licensee, whenever practical. Priority support is not a commitment to work for, contract for or otherwise act as a software developer for the Licensee. After the first year, priority support may be maintained for a support renewal fee of $150, due by the anniversary of the initial license purchase. We reserve the right to alter this support renewal fee on or after January 1st, 2009. If this license has not been signed by Thomas Boutell on behalf of Boutell. Com, Inc., it is invalid.
